Overview


Vitech is looking for an enthusiastic, motivated and driven Senior Counsel to add to our small legal team that thrives in a fast-paced, dynamic and challenging work environment. Working closely with Vitech s senior management and business partners, the Senior Counsel will take a major role in the negotiation and closing of client SaaS software licenses, professional services matters, vendor contracts, corporate governance and other legal matters.


This is individual will be reporting to the General Counsel. This is a role with high internal executive and external client visibility and tremendous growth potential!

Responsibilities
  • Drafting and negotiation of large and complex client SaaS software and hosting licenses, services agreements, statements of work, vendor contracts, data processing/protection agreements, amendments, change orders, etc.
  • Collaborate closely with business owners, finance and procurement on client and vendor matters
  • Preparation of corporate documents, including internal compliance and privacy and policy documents
  • Preparation and handling of corporate governance matters
  • Participate in responses to RFPs, including the preparation and editing of proposals
  • Provide legal advice and consultation on a variety of legal issues

Requirements
  • 7+ years of relevant contractual/commercial and corporate law experience.
  • Extensive experience drafting and negotiating multi-million dollar SaaS software license/hosting agreements, services contracts, statements of work and change orders.
  • Experience with data privacy laws and policies (GDPR, CCPA, etc.) and data processing/protection agreements.
  • Working knowledge of the legal aspects of information security.
  • Excellent written/verbal communication skills.
  • Attention to detail and strong organizational skills.
  • Self-motivated and able to work in a team environment.
  • Proven ability to take initiative and build strong, productive relationships with team members and clients.
  • Proven ability to consistently and positively contribute in a fast-paced, changing work environment.
  • Ability to prioritize multiple functions and tasks while managing time efficiently.
  • Law firm required and in-house legal department experience preferable.
  • JD or LLM degree required, current state bar membership, able to register as New York in-house counsel.
